The Modern Corporation And Private Property

Information And The Modern Corporation by Adolf A. Berle, The Modern Corporation And Private Property Books available in PDF, EPUB, Mobi Format. Download The Modern Corporation And Private Property books, This monumental work on the corporation is one of those enduring classics that many cite but few have read. Graced with a new introduction by Weidenbaum and Jensen, this new edition makes this classic available to a new generation. Written in the early 1930s, The Modern Corporation and Private Property remains the fundamental introduction to the internal organization of the corporation in modern society. Combining the analytical skills of an attorney with those of an economist, Berle and Means raise the central questions, even when their answers have been superseded by changing circumstances. The book's most enduring theme is the separation of ownership from control of the modern corporation and its consequences. Berle and Means display keen awareness of the divergent interests of directors and managers, and of each from owners of the firm. Among their predictions are the characteristic increase in size of the modem corporation and concentration of the economy. The authors view stock exchanges and stock markets as essential by-products of the rise of the modem corporation, and explore how these function. They address the difficult questions of whether corporations operate for the benefit of owners or managers, and explore what motivates managers to make effective use of corporate assets. Finally, they examine the role of the corporation as the prevailing form of organizing the production and distribution of goods and services. In their new introduction, Weidenbaum and Jensen, co-directors of the Center for the Study of American Business at Washington University, critically assess the impact of developments not fully anticipated by Berle and Means, such as the rise of the service sector, and the significant role played by institutional investors in the owner/manager equation. They note the authors' prescient observations, including the complex role of and motivating influences on professional managers, and the significance of inside information on stock markets. As they note, The Modern Corporation and Private Property remains of central value to all those concerned with the evolution of this major social institution of the twentieth century. Scholar and practitioner alike will find it of enduring significance.

Managing In The Modern Corporation

Information And The Modern Corporation by John Hassard, Managing In The Modern Corporation Books available in PDF, EPUB, Mobi Format. Download Managing In The Modern Corporation books, In recent years, widespread organisational change in large corporations has almost invariably led to work intensification and increased stress for managers. Managing in the Modern Corporation explains how and why large companies have changed their organisational structures and philosophies, focusing in particular on how these changes affect the careers of middle managers. Based on in-depth interviews with over two hundred middle and senior managers working in large corporations in the USA, UK and Japan, it shows how the working lives of managers have been subjected to major disruption, involving work intensification and reduced opportunities for career progression. Furthermore, it argues that such widespread overwork and poor treatment of highly skilled and highly motivated staff has created a major international problem that must be addressed. The book presents a range of solutions to this important problem, suggesting that there are possibilities for saner, less brutal organisational environments.

Governing The Modern Corporation

Information And The Modern Corporation by Roy C. Smith, Governing The Modern Corporation Books available in PDF, EPUB, Mobi Format. Download Governing The Modern Corporation books, Nearly seventy years after the last great stock market bubble and crash, another bubble emerged and burst, despite a thick layer of regulation designed since the 1930s to prevent such things. This time the bubble was enormous, reflecting nearly twenty years of double-digit stock market growth, and its bursting had painful consequence. The search for culprits soon began, and many were discovered, including not only a number of overreaching corporations, but also their auditors, investment bankers, lawyers and indeed, their investors. In Governing the Modern Corporation, Smith and Walter analyze the structure of market capitalism to see what went wrong. They begin by examining the developments that have made modern financial markets--now capitalized globally at about $70 trillion--so enormous, so volatile and such a source of wealth (and temptation) for all players. Then they report on the evolving role and function of the business corporation, the duties of its officers and directors and the power of its Chief Executive Officer who seeks to manage the company to achieve as favorable a stock price as possible. They next turn to the investing market itself, which comprises mainly financial institutions that own about two-thirds of all American stocks and trade about 90% of these stocks. These investors are well informed, highly trained professionals capable of making intelligent investment decisions on behalf of their clients, yet the best and brightest ultimately succumbed to the bubble and failed to carry out an appropriate governance role. In what follows, the roles and business practices of the principal financial intermediaries--notably auditors and bankers--are examined in detail. All, corporations, investors and intermediaries, are found to have been infected by deep-seated conflicts of interest, which add significant agency costs to the free-market system. The imperfect, politicized role of the regulators is also explored, with disappointing results. The entire system is seen to have been compromised by a variety of bacteria that crept in, little by little, over the years and were virtually invisible during the bubble years. These issues are now being addressed, in part by new regulation, in part by prosecutions and class action lawsuits, and in part by market forces responding to revelations of misconduct. But the authors note that all of the market's professional players--executives, investors, experts and intermediaries themselves--carry fiduciary obligations to the shareholders, clients, and investors whom they represent. More has to be done to find ways for these fiduciaries to be held accountable for the correct discharge of their duties.

The Oxford Handbook Of The Corporation

Information And The Modern Corporation by Thomas Clarke, The Oxford Handbook Of The Corporation Books available in PDF, EPUB, Mobi Format. Download The Oxford Handbook Of The Corporation books, The Oxford Handbook of the Corporation assesses the contemporary relevance, purpose, and performance of the corporation. The corporation is one of the most significant, if contested, innovations in human history, and the direction and effectiveness of corporate law, corporate governance, and corporate performance are being challenged as never before. Continuously evolving, the corporation as the primary instrument for wealth generation in contemporary economies demands frequent assessment and reinterpretation. The focus of this work is the transformative impact of innovation and change upon corporate structure, purpose, and operation. Corporate innovation is at the heart of the value-creation process in increasingly internationalized and competitive market economies, and corporations today are embedded in a world of complex global supply chains and rising state and state-directed capitalism. In questioning the fundamental purpose and performance of the corporation, this Handbook continues a tradition commenced by Berle and Means, and contributed to by generations of business scholars. What is the corporation and what is it becoming? How do we define its form and purpose and how are these changing? To whom is the corporation responsible, and who should judge the ultimate performance of corporations? By investigating the origins, development, strategies, and theories of corporations, this volume addresses such questions to provide a richer theoretical account of the corporation and its contested future.

Handbook Of Islamic Banking

Information And The Modern Corporation by Kabir Hassan, Handbook Of Islamic Banking Books available in PDF, EPUB, Mobi Format. Download Handbook Of Islamic Banking books, The Handbook of Islamic Banking comprises 25 studies by leading international experts on Islamic banking and finance specially commissioned to analyse the various debates and the current state of play in the field. From its origins thirty years ago, Islamic banking has expanded rapidly to become a distinctive and fast growing segment of the international banking and capital markets. Despite this expansion, Islamic banking still remains poorly understood in many parts of the Muslim world and continues to be a mystery in much of the West. This comprehensive Handbook provides a succinct analysis of the workings of Islamic banking and finance, accessible to a wide range of readers. At the same time, it seeks to bring the current research agenda and the main issues on Islamic banking before a wider audience. Islamic banking offers, as an alternative to conventional interest-based financing methods, a wide variety of financial instruments and investment vehicles based on profit-and-loss sharing arrangements. These are all explored in detail along with other subjects such as governance and risk management, securities and investment, structured financing, accounting and regulation, economic development and globalization. M. Kabir Hassan, Mervyn Lewis and the other contributors have created an authoritative and original reference work, which will contribute to a wider understanding of Islamic banking as well as provoking further discussion and research. It will be invaluable to all scholars, researchers and policymakers with an interest in this subject.

The American Corporation Today

Information And The Modern Corporation by Carl Kaysen, The American Corporation Today Books available in PDF, EPUB, Mobi Format. Download The American Corporation Today books, Not since Edward Mason's classic book The Corporation in Modern Society appeared in 1959 has anyone compiled an authoritative overview of the American business firm. Such a survey is now clearly overdue, for in the last thirty years both the corporation and the business environment has changed radically. In The American Corporation Today, Carl Kaysen and other leading students of business and markets from around the country provide a much-needed analysis of American corporate life at the end of the century. Here is the American corporation from every angle--its postwar history, its relation to the law, its financing, its impact on technological innovation, its role as employer and as political force, and much more. The contributors--all of whom are recognized experts in their fields--not only tackle many of the same key areas that the contributors to Mason's classic study looked at, but they also illuminate issues that have only arisen in recent years. For instance, Raymond Vernon describes the increasing globalization of American business, where the net income from operations outside the U.S. is now nearly half of that from domestic operations (as opposed to one-tenth in the 1950s). James Q. Wilson traces how the corporation has become a full-time political actor, showing how it reinvented its political strategy and tactics in the 1960s in the face of a wave of new consumer, environmental, and worker health legislation. Gregory Acs and Eugene Steuerle show how the corporation promotes the commonweal, acting as agent for the employee in purchasing pension, health, and other welfare benefit plans, while Lester Thurow casts a critical eye at the decline of median real wages of American males over the last twenty years (never before have a majority of American workers suffered real wage reductions while the real per capita gross domestic product was increasing). In other pieces, corporate finance experts Charles Calomiris and Carlos Ramirez advocate removing legal constraints on financial institutions that prevent them from providing the full range of business financing from short-term debt to equity, Michael Useem looks at the rise of education and training as a vexing corporate issue, and Barbara Bergmann discusses the increasingly diverse work force, arguing that ending bias is in the corporation's best interest. And finally Neil Harris provides a fascinating discussion of architecture, exploring how companies have become the principle patrons of important architecture since the 1950s. Vital to everyone concerned with American big business today, this collection is sure to become the new standard upon which future studies of the corporation will be built.
